HISTORY - CONSTITUTIONAL CHANGES

On July 12 1997, the EFA became the Equestrian Federation of Australia Ltd, a company limited by guarantee, with a Board of Directors comprising the State Chairs and a number of appointed Directors.

In 2001, the general membership was able to elect a further three Board members directly.

18 January 2004, - new form of "governance", with a skills-based Board of five directors elected by the "shareholders" from nominations by the general membership of the EFA.

In 2009, - changes to the constitutional provisions and also adopted a major 're-write' of the constitution itself. This new constitution became effective in 2010.

In 2016 constitutional changes to accommodate ASC governance principles were presented without any consultation with the State Branches. The changes were needed to comply with the Australian Sports Commission Mandatory Governance Principles. The motion to approve the changes were presented to the Branches in accordance with the EA Constitution and the Branches voted unanimously to pass the motion.

EQUESTRIAN AUSTRALIA - COMPANY LIMITED BY GUARANTEE

The company was incorporated on 11 February 1997 under the Corporations Act 2001. The registered office and principal place of business of the company is at Unit 7, 11-21 Underwood Road, Homebush, NSW, 2140

 

WHO WERE THE ACTUAL MEMBERS OF E.A. ?

Pre September 15th 2020 (Voluntary Administration – constitutional changes)

Pre September 15 2020 the ONLY members of Equestrian Australia were the 7 State Branches. The 7 State branches are incorporated in their own rights and under the E.A constitution have ‘limited’ input into the running of EA. ‘Grass Roots Members’ when used on this website refer to the members of the 7 state branches. Under the constitution forced on E.A. by Sport Australia as a pre-condition to government funding the State Branch representatives meet twice a year to discuss issues, there is no constitutional requirement for E.A. to enact any of the Branch suggestions.

Read - E.A.'s Memorandum of Understanding With the State Branches  Which amusingly is called Draft Volleyball Charter Agreement. Was this a template provided by Sport Australia ? As at February 2022 this agreement still hasn't been updated from 2013 and does not recognise the new status of the Branch grass roots members. The post Voluntary Administration E.A. Board has spent it's time creating and revising policies that were not identified by grass roots members as problems, go figure!

Pre September 15th 2020 -The grass roots members of state branches have absolutely NO DIRECT SAY in the business of E.A. unless their State Branch decides to forward 'grass roots ' members concerns to E.A.  Examples on this website evidence that this is rare. The State Branches have absolutely NO requirement via the state constitutions (at least the Vic constitution) , to listen to their state grass roots members regarding ANY EA business.

The State Branches do NOT have state representation on the EA board, the EA board is completely self-sufficient when it comes to running EA business.

The only input that is possible from the State Branches is via the 2 per year meetings of state delegates with the EA board, or using the means as explained in the E.A. constitution - that's it!  The state delegate representation is not proportional regarding membership numbers, E. Tasmania has one representative at these meetings as does E.N.S.W. Don’t kid yourselves that they are listening to the Branch Members.


You only have to look at the EV AGM 2012 to see how the E.V. board handles questions/suggestions  from their grass roots members regarding EA business:

“Boards Official Response: MOTIONS 2 TO 6 and 8 to 10 Fall outside the powers of the members of E.V., and any vote in relation to these would not bind the association.” ( these motions referred to E.A. – constitution, Olympic selection, Equinect, etc).

Seems pretty clear to me..... NO STATE BRANCH (E.V)  GRASS ROOTS MEMBERS INPUT RE E.A. WILL BE COUNTENANCED. And yes, thanks to the E.A. Constitution and the Corporations Act, this is legal.

OVERVIEW FOR NATIONAL SPORTING ORGANISATION FUNDING AND PERFORMANCE REVIEW

NOTE – The following excerpt is from their 2012 report. The Australian Sports Commission has been re-named Sport Australia.

An NSO must be recognised by the ASC before it can be funded. The eligibility criteria for the recognition of NSOs can be found on the ASC website at ausport.gov.au/supporting/nso/asc_recognition.

 

The criteria outline areas that organisations must address in order to be considered for recognition. The key criterion demands that organisations need to demonstrate that they have a national perspective and that they are the pre-eminent organisation taking responsibility for the development of the sport in Australia.

Although recognition is a prerequisite for an NSO to be funded by the ASC, it does not automatically mean the NSO will be allocated funding. The ASC reviews all recognised NSOs (funded and unfunded) as part of the Annual Sport Performance Review.

Given the many and various breaches of these Mandatory Sports Governance Principles that EA has made over at least 8 years, what took Sport Australia so long to recognize these failings?

ECONOMIC DEPENDENCY ON GRANTS

The company is dependent on grants received from the Australian Sports Commission, Australian Paralympic Committee and Australian Olympic Committee for the majority of its revenue used to fund its operations 2018: 50% (2017: 52%).

 

At the date of this report the Directors have no reason to believe the Government will not continue to support the Company. In the event Grant Funding contracts is withdrawn the costs associated with the supported aspects of the business (High Performance & Participation) would reduce commensurately.
